1. Scope of Service
1.1. The Service: Sinas provides access to one or more managed instances of the Sinas platform, providing AI agents, functions, queries, skills, connectors, components, files, and state persistence accessible behind a unified API with role-based access control ("Managed Services").
1.2. Service Definition: Sinas is a managed AI execution and orchestration substrate, not a general-purpose database or a generic web hosting product for Customer's own external applications.
1.3. Tier Structure: Subscription tiers determine the number of available instances and maximum compute node sizes, not access to platform features.
2. Subscription Plans and Prices
All prices are listed in Euros (€) per month, excluding VAT and applicable sales taxes:
Free: €0/month. Includes 1 shared instance and up to 50,000 operations per month. No payment card required.
Starter: From €49/month. Includes up to 3 instances (2 shared, 1 dedicated), compute up to Small size, and up to 600,000 operations per month.
Professional: From €199/month. Includes up to 8 instances (3 shared, 5 dedicated), compute up to Large size, and up to 16,000,000 operations per month. (Status: Coming Soon)
Business: From €499/month. Includes up to 30 instances (5 shared, 25 dedicated), compute up to Extra Large (XLarge) size, and up to 150,000,000 operations per month. (Status: Coming Soon)
Enterprise: Custom capacity, instances, and terms available upon request.
3. Billing and Payment Terms
3.1. Recurring Billing: Paid tiers are billed monthly in advance via Stripe hosted checkout. Invoices, billing history, and payment methods are managed via the Stripe Customer Portal.
3.2. Tier & Instance Adjustments: Changes to subscription tiers or instance sizes take effect immediately, with any price differential prorated automatically by Stripe.
3.3. Failed Renewal: In the event of a declined or failed monthly charge, Stripe will retry the payment method according to its retry schedule. Instances remain active without automatic suspension or deletion during this period, and a Sinas team member will reach out directly to assist with payment resolution.
4. Operations Cap
4.1. Monthly Pool: The operations allowance is pooled per organization per billing cycle and resets on the monthly Stripe billing date.
4.2 Advisory Monitoring: Operations caps are advisory. System notifications will alert the Customer at 80% capacity and flag the account as "exceeded" at 100%. Services, instances, and API execution will not be automatically blocked or suspended upon reaching 100%.
5. Account Credentials, API Keys, & Access
5.1 Authentication: User accounts are secured via email and password (requiring a minimum of 8 characters, including uppercase, lowercase, number, and special character) or a one-time password (OTP) code.
5.2. API Keys: Users may generate API keys on their instances for automated scripts and integrations. An API key inherits no greater permissions than the creating user and may be configured with an expiration date.
5.3. Responsibility: All actions taken using a user’s credentials or generated API keys are deemed to be performed by that user. Customer remains solely responsible for all invited organization members and the access permissions granted to them.
5.4. Email Changes: Email address modifications must be requested through and processed by Sinas support.
6. Acceptable Use and Restrictions
6.1. Prohibited Activities: Customer shall not use the Managed Services to perform network attacks, system overloading, unauthorized access, unsolicited messaging (spam), or the processing/storage of unlawful content or data for which Customer lacks proper authorization.
6.2. Shared Instance Restrictions: Execution of custom code is disabled on shared (Free) instances. Circumventing or attempting to bypass this technical control constitutes a material breach of these Terms.
6.3. Emergency Suspension: Sinas reserves the right to immediately suspend any instance or account if it poses a threat to platform security or causes active operational harm. Customer will be notified of the reason for suspension without delay.
7. Data Ownership, Privacy, & Exit
7.1. Data Ownership: Customer retains full ownership and intellectual property rights in all configurations, custom code, prompts, uploaded files, and runtime data. Sinas does not use Customer data or payloads to train foundational models, nor does Sinas sell Customer data.
7.2. Configuration & Data Portability: System configurations may be exported as YAML at any time. All instance data remains fully exportable prior to hard deletion. Self-hosting the Sinas software stack serves as the guaranteed vendor exit path.
8. Cancellation, Inactivity, and Termination
8.1. Cancellation: Customer may cancel a subscription at any time via the console. The subscription remains active through the end of the current paid billing period.
8.2. Free Instance Inactivity: Free instances that remain completely unused for 14 consecutive days will be automatically removed alongside their stored contents.
8.3. Data Retention & Deletion: Following account or instance cancellation, Sinas retains data for 30 calendar days to allow retrieval, after which all data is permanently hard-deleted. Tax invoices and minimal account deletion audit logs are retained for statutory retention periods (7 to 10 years as required by applicable tax law).
8.4. Termination for Cause: Either party may terminate this agreement immediately upon an unremedied material breach by the other party.
9. Limitation of Liability & Governing Law
9.1. Liability Cap: To the maximum extent permitted by applicable law, Pulsr B.V.’s aggregate liability arising out of or related to these Managed Services is limited to the total amount paid by Customer in the 6 months preceding the claim.
9.2. Governing Law: This agreement is governed by and construed in accordance with the laws of The Netherlands. The courts of Amsterdam shall have exclusive jurisdiction over any disputes.
